1. Agreement to Terms

By accessing or using the website and services provided by ProStart Solutions (“Company,” “we,” “our,” or “us”), located at prostartsolutions.com, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access or use our services.

2. Services

ProStart Solutions provides web design, web development, mobile app development, SEO optimization, digital marketing, and content creation services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or agreement provided before work begins.

3. Project Proposals & Payment

All projects require a signed proposal or agreement before work begins. Payment terms will be outlined in each project proposal and may include:

• An upfront deposit (typically 50%) to begin work
• Milestone payments tied to project deliverables
• Final payment due upon project completion and before site launch
• Monthly retainer fees for ongoing services (SEO, maintenance, marketing)

Late payments may result in work being paused until the balance is resolved. We accept payment via cash, credit card, check, and bank transfer.

4. Intellectual Property

Upon full payment, you will own the custom code, designs, and content created specifically for your project. ProStart Solutions retains the right to:

• Display completed work in our portfolio and marketing materials
• Reuse general frameworks, libraries, and non-custom components
• Reference the client relationship in case studies (with your permission)

Third-party assets (stock photos, fonts, plugins) are subject to their respective licenses and may require separate licensing fees.

5. Revisions & Changes

Each project includes a specified number of revision rounds as outlined in the project proposal. Additional revisions beyond the agreed scope may incur additional charges. Significant scope changes after project kickoff will be addressed through a change order with updated pricing and timeline.

6. Client Responsibilities

To ensure timely project delivery, clients are responsible for:

• Providing requested content, images, branding assets, and feedback in a timely manner
• Reviewing and approving deliverables within the agreed timeline
• Providing accurate business information for SEO and directory listings
• Maintaining domain registration, hosting accounts, and third-party service subscriptions

Project delays caused by late client feedback or missing materials may affect the delivery timeline.

7. Limitation of Liability

ProStart Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services or websites we create. We do not guarantee specific results from SEO, marketing campaigns, or website performance, as results depend on many factors outside our control. Our total liability shall not exceed the amount paid for the specific service in question.

8. Termination

Either party may terminate a project with written notice. If the client terminates, payment is due for all work completed up to the termination date. If ProStart Solutions terminates, we will deliver all completed work and refund any payment for undelivered services. Ongoing service agreements (SEO, maintenance) may be cancelled with 30 days written notice.

9. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes arising from these terms will be resolved in the courts of Carroll County, Virginia.
